Terms and Conditions
Tracecove Inc.
Effective date: October 15, 2026
Canonical location: https://tracecove.com/terms
1. About these Terms
These Terms and Conditions form an agreement between you and Tracecove Inc., a Delaware corporation doing business as Tracecove ("Tracecove," "we," "us," or "our"). They govern our websites, applications, APIs, developer tools, shared platform services, and other related services that we own or operate and make available under these Terms (collectively, the "Services"). A reference to a Service includes its available features, content, and documentation.
By creating an account, clicking an acceptance control, placing an order that incorporates these Terms, or otherwise using a Service after these Terms have been brought to your attention in a manner that forms an enforceable agreement, you agree to them. If you do not agree, do not use that Service. Merely posting these Terms does not replace any acceptance procedure required by law.
The Privacy Policy at https://tracecove.com/privacy explains our handling of personal information. Accepting these Terms or acknowledging the Privacy Policy does not, by itself, give consent to marketing, text messages, automated calls, sensitive-information processing, or other activities requiring a separate choice.
2. Additional agreements and availability
A Service, pilot, API, order, or feature may have supplemental terms presented before you use or purchase it. If a supplemental agreement expressly addresses a conflict, it controls that subject for that Service. A written agreement signed by Tracecove and your organization controls the subjects it expressly covers. Otherwise, these Terms apply. Mandatory law always controls, and a general statement in these Terms does not erase a more specific privacy disclosure or consent requirement.
An independently operated partner application is governed by its operator's agreement for that application, even if it integrates a Tracecove service. The partner's agreement cannot expand the permissions you grant to Tracecove or change Tracecove's own legal obligations.
Descriptions of concepts, planned capabilities, integrations, or future products are informational. They do not promise release, establish that a channel or feature is available, or authorize processing before it is introduced. Access may depend on location, account status, invitation, age, technical compatibility, or product eligibility.
The Services are initially intended for users in the United States and Canada. We may expand availability to the European Union and other countries. Availability is determined for each Service and location; access to a company website or development preview does not establish that a product is generally available there. Applicable mandatory protections continue to apply according to the actual activity and law.
3. Eligibility and acting for an organization
You must be at least 13 and meet any higher minimum age required by applicable law or the particular Service. If you are under the age of majority where you live, your parent or legal guardian must review these Terms and give the permission required for your use. Where an adult must enter the agreement on your behalf, that adult must do so. Parental permission does not override a higher legal or product age limit or substitute for a legally required privacy-consent process.
Some Services, purchases, events, or developer accounts may require adulthood or additional qualifications. You must not misrepresent your age or eligibility. An organization that allows minors to participate must satisfy the requirements applicable to its role; its permission does not automatically replace that of a parent or guardian.
If you enter this agreement for an organization, you represent that you have authority to bind it. In that case, "you" includes that organization for its use. You must follow applicable laws, including applicable trade restrictions, when accessing or using the Services.
4. Accounts and security
Provide accurate registration information, keep relevant contact details current, and use only accounts and credentials you are authorized to use. Protect passwords, recovery keys, authentication codes, API credentials, and connected-service permissions. Do not give an authentication code or recovery key to someone claiming to need it for support.
You are responsible for activity you authorize and for taking reasonable steps to protect your account. You are not made responsible by these Terms for activity to the extent it results from Tracecove's breach of its legal or contractual obligations. Tell support@tracecove.com promptly if you suspect unauthorized access or a compromised credential. We may require reasonable verification before changing access or responding to a security-sensitive request.
Authentication establishes account access; it does not automatically grant membership in another product, household, organization, workspace, event, or private record. Permissions and recovery options depend on the Service. A shared account does not authorize unrestricted sharing of information between products.
5. Permission to use the Services
Subject to these Terms and any applicable order, we give you a limited, nonexclusive, nontransferable permission to access and use the Services for their intended purposes. An organization may permit its authorized personnel to use a Service within its agreement. You may use APIs, SDKs, and downloadable components only within their documented permissions and any applicable separate license. Open-source components remain subject to their own licenses.
Tracecove and its licensors retain their rights in the Services, including software, designs, documentation, trademarks, and other materials we provide. No ownership of those materials transfers to you. You may not use Tracecove branding in a way that falsely suggests sponsorship or affiliation.
6. Responsible use
Do not use the Services to violate the law or another person's rights; threaten, harass, exploit, defraud, or impersonate someone; distribute malware or unlawful content; disclose private information without authority; or create or distribute nonconsensual intimate imagery, including fabricated imagery.
Do not bypass access controls, obtain another user's private information without permission, interfere with service integrity, misuse recovery procedures, evade a restriction or opt-out, or use a security feature to make unsupported claims about a person's identity, trustworthiness, physical presence, or conduct. Do not send unsolicited messages or use another person's contact details without the authority and consent required for the communication.
Do not use automated access in a way that exceeds authorized permissions, defeats documented limits, or materially disrupts the Services. Lawful interoperability, accessibility tools, permitted integrations, and activities that applicable law protects remain allowed. Security testing requires authorization for the affected system; report suspected vulnerabilities to compliance@tracecove.com without exposing other people's information.
7. Your content and sharing choices
"Your Content" means material you submit to a Service, such as text, photographs, artwork, files, designs, feedback within a workflow, and other records. As between you and Tracecove, you retain your rights in Your Content. You must have the rights and permissions needed to submit it and to direct its processing and sharing, including appropriate authority concerning other people's information.
You give Tracecove a nonexclusive license to host, store, copy, transmit, display, adapt, and otherwise process Your Content only as reasonably needed to provide, operate, maintain, evaluate, and improve the Services, carry out your authorized instructions, maintain security, and meet applicable legal obligations. For example, a design service may need to render a proof, and a private-demo service may need to build and run submitted code. We may permit providers acting for us to perform those tasks. This license remains subject to the Privacy Policy, product-specific restrictions, your permissions, and applicable law, including any required consent; it does not by itself authorize unrelated advertising or model training with personal information.
You control what you submit and the sharing choices actually offered by a Service. Material shared with household members, collaborators, administrators, event organizers, or other recipients may be visible to them within that context. Recipients may retain copies they lawfully received; withdrawing access does not necessarily retrieve those copies. We remain responsible for any deletion or other action the law requires us to perform.
We may restrict or remove content when reasonably necessary to enforce these Terms, protect people or the Services, or comply with law. We do not promise to review every submission. Report alleged infringement, unlawful content, or a privacy violation to compliance@tracecove.com with enough information to locate the material and understand the concern. Do not send unnecessary sensitive information. We may request information needed to evaluate the report and provide any notice, response opportunity, removal procedure, or appeal required by law.
8. Communications and messaging
8.1 Available channels and enrollment
Where implemented, the Services may support email, push, in-app notifications, SMS or MMS, telephone calls, automated voice, or other communication channels. The relevant interface identifies the channels available to you. This section sets conditions for supported programs; it does not announce that a program is active.
Transactional or informational communications may concern your account, security, requested actions, events and logistics, orders and delivery, or reminders you configure. We obtain any required consent through the applicable enrollment, authentication request, or notification settings. You may choose not to enroll in optional messaging. An organizer's invitation or another user's submission of your number does not, by itself, establish your consent.
8.2 Shared product notification sender
Tracecove's designated shared product notification number is +1 (877) 307-2459. When that program is available and you enroll, it may serve more than one Tracecove product. Your enrollment describes the products or message subjects you select; signing up for one subject does not authorize unrelated subjects. General acceptance of these Terms is not blanket SMS consent.
Replying STOP to that shared number blocks further product messages to your number from every product using that sender, subject only to a permitted opt-out confirmation. Product settings can let you make narrower choices, but cannot override a sender-level or carrier-level block. Messages sent through other senders remain subject to their own consent and applicable opt-outs.
8.3 Frequency charges and help
Message frequency varies with your activity, requests, preferences, and the features you use. Standard message and data rates may apply. Your carrier or plan determines those charges. Reply HELP to a supported messaging sender for assistance, or contact support@tracecove.com, including if a reply is unavailable or does not work. The rate disclosure and delivery limitations in this section apply to both product notifications and authentication messages.
8.4 Stopping and restarting messages
To stop texts, reply STOP to the sender or use another supported unsubscribe mechanism. You can also contact support@tracecove.com with a clear request identifying the number and scope of the messages you want stopped. We honor applicable revocations and do-not-contact requests within the time the law requires. You may receive one nonpromotional confirmation where permitted.
If you later want to re-enroll with the shared toll-free sender, reply START or UNSTOP where supported and complete any enrollment needed for your selected subjects. Simply enabling an application preference does not remove a carrier block. Re-enrollment must reflect a new, valid choice; we do not treat it as consent to unrelated marketing. Tell us if your number changes or is reassigned, and do not enroll a number you are not authorized to use.
8.5 Separate authentication messages
Where phone authentication is enabled, you may specifically request a one-time code to verify a number, sign in, or recover an account. The request interface explains the message and obtains the required opt-in before sending it. These codes use separately managed authentication senders rather than the shared product notification number.
A STOP reply to the shared product notification number does not, by itself, unsubscribe you from codes you separately request from an independent authentication sender. An opt-out applicable to an authentication sender must still be respected. A request to stop a broader set of communications will be handled according to its stated scope and applicable law; we do not use a different sender to evade it.
Codes expire, may be limited to one use, and can be subject to attempt and resend limits. Use the instructions in the request flow. Alternative methods are available only where implemented and suitable for the account; no particular recovery method or continuous SMS access is guaranteed.
8.6 Delivery and sensitive details
Messages can be delayed, filtered, misdirected, or undelivered because of carrier, device, network, routing, or other conditions. Carriers are not liable for delayed or undelivered messages. This disclosure does not exclude rights or liabilities that applicable law does not allow to be excluded.
Do not rely on SMS for emergencies, medical decisions, rescue, or other situations requiring guaranteed delivery. Check the application and any available alternative channel for important information. Notification content is intended to limit unnecessary private details and direct you to authenticated views where appropriate; texts, email previews, and lock-screen notifications can still be seen by others with access to your device or number. Avoid sending sensitive information by ordinary text unless an appropriate feature specifically calls for it.
8.7 Telephone calls and recordings
Where a calling feature is implemented, we may use telephone communications for requested support, verification, or other lawful service purposes. Any automated, artificial-voice, or prerecorded calling must have the consent or other authority required for that particular call and comply with applicable calling restrictions. Consent to SMS is not automatic consent to every type of automated call.
If a call-recording or transcription feature is introduced or used, the applicable disclosure and any required consent must occur before recording or transcription begins. A separate notice will explain the relevant purpose and handling of the recording or transcript. This section does not represent that calls are currently recorded or that recording is currently available.
8.8 Promotional communications
If we introduce promotional messages, their enrollment and delivery will be handled separately from transactional enrollment, with the consent, identification, unsubscribe options, and other safeguards required for the channel and recipient's location. Where required, promotional automated calls and texts require prior express written consent, and that consent is not a condition of purchasing goods or services. Transactional consent does not authorize promotions. Declining marketing does not prevent you from using an otherwise available service.
9. Integrations and third-party services
You decide whether to connect an available third-party service and which permissions to grant. A connection authorizes only the access and actions you actually approve within the feature and the third party's permissions. You can revoke access through the controls that are available in the relevant services; revocation does not reverse actions already completed or erase records lawfully retained.
Independent providers have their own terms, privacy practices, eligibility rules, and availability. We are not responsible for independent services we do not control, but remain responsible for our own selection and use of providers where the law places that responsibility on us. Product notices identify relevant handling when an integration requires further disclosure.
10. AI automation and delegated actions
An available AI or automation feature may use selected inputs, connected services, and permissions to generate outputs or take specifically authorized actions. The feature's notice and controls describe its scope. These Terms do not grant unlimited authority to act for you, enter contracts, spend money, publish material, or disclose private information. Additional approval must be obtained where required by the feature, your permissions, or law.
AI outputs can be incomplete or inaccurate. Review them in light of their intended use and the consequence of an error. A generated statement or matching result is not proof of identity, physical attendance, misconduct, medical status, or suitability for an opportunity. A workflow approval does not expand the authority of a connected account or replace permissions the affected product must enforce.
You may not use a general-purpose feature as a substitute for required professional judgment or a regulated decision process. Any specialized offering that lawfully supports such uses needs its own applicable terms and disclosures. Nothing here transfers Tracecove's own legal duties to you.
11. Specialized products events and pilots
Product notices may explain health or wellness records, identity evidence, introductions, moderation, event participation, or physical goods in more detail. An account-verification or encounter record establishes only what its stated method supports. A moderation flag is a report or review signal, not a final factual or legal determination. Candidate or relationship information must be shared within the applicable permissions.
General health and wellness features do not establish a clinician-patient relationship or provide emergency care. Event coordination, route information, attendance reports, and notifications do not establish certified presence or supply emergency monitoring or rescue. Relevant product terms may address participants, organizers, safety, professional use, and the particular limits of the feature.
A labeled beta, prototype, or pilot may be incomplete and limited to evaluation. Follow its admission and data-use restrictions. Do not submit production secrets or sensitive records to a pilot that prohibits them. Preview's existing pilot restrictions remain applicable until properly updated. Keep an appropriate copy of material you need; a pilot does not promise production availability or preservation. This does not reduce any mandatory duty to protect information already received.
12. Fees subscriptions and orders
A paid feature is offered only when pricing and the relevant purchase terms are presented. The checkout or order identifies the seller or merchant of record, the item or service, applicable currency, charges, taxes, billing timing, cancellation method, and any delivery or refund conditions. A simulated or test order does not charge you or arrange physical fulfillment.
You authorize only the charges you approve. Before a recurring subscription begins, we disclose the renewal interval, recurring price or its calculation, any trial conversion, and how to cancel, and obtain the required affirmative agreement. We provide required confirmations, reminders, and price-change notices. You may cancel using the disclosed method; contact support@tracecove.com if you cannot access it. Cancellation, refunds, and any remaining access follow the disclosed purchase terms and mandatory law. These Terms impose no blanket nonrefundability rule and do not waive charge-dispute or statutory cancellation rights.
For physical goods, any live offer must explain proof approval, production, shipping, delivery estimates, returns, and treatment of customized items before purchase. Approval of artwork does not waive remedies for a defective, incorrect, or legally nonconforming product. If shipment is delayed, we obtain any required delay consent or offer cancellation and a refund as required. Additional commercial terms govern the actual live offering; a company-wide description does not launch it.
13. Changes to the Services
We may develop, modify, limit, or discontinue a Service or feature, including a pilot. For paid commitments, we honor the applicable agreement and legal rights, including required notice, cancellation, and refunds. Where reasonably practical, we give notice before a change that materially reduces an ongoing service and provide a reasonable opportunity to obtain an available export. Urgent security, legal, or technical circumstances may require action sooner. No provision promises a permanent feature, integration, or service level unless a separate agreement does so.
14. Suspension termination and consequences
You may stop using a Service and request account closure through available controls or support@tracecove.com. Stopping use, closing an account, cancelling a subscription, and asking for deletion are distinct actions; we will explain any further steps needed for your request rather than treating one action as permission for unrelated processing.
We may restrict or end access if reasonably necessary because of a material breach, unlawful conduct, a security or abuse risk, a legal requirement, or discontinuation. Where appropriate and legally permitted, we provide notice and an opportunity to resolve the issue. We may act immediately when delay could create harm. You can ask support@tracecove.com to review a restriction; legally required appeals remain available.
After termination, permission to use the affected Service ends. We handle remaining charges, exports, content, and personal information under the applicable agreement, Privacy Policy, and law. Provisions that by their nature need to continue, such as accrued payment obligations, ownership, limited content permissions for lawful retention, liability rules, and dispute provisions, survive only to that extent.
15. Warranties and service limitations
We provide the Services with the duties and standards required by applicable law and any express agreement. Except for those obligations, and to the extent permitted by law, the Services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent those warranties may lawfully be disclaimed. We do not promise uninterrupted or error-free operation or that every output or third-party input is accurate.
Consumer guarantees, legal warranties, and remedies that cannot be excluded remain fully available. In particular, nothing in these Terms excludes mandatory protections under Canadian federal or provincial law, including Quebec consumer protections, or other applicable local consumer law.
16. Limits on liability
To the extent permitted by law, neither Tracecove nor its suppliers acting for it is liable under this agreement for indirect, incidental, special, exemplary, or consequential loss, or loss of profits or business opportunity, arising from the Services. To that same extent, Tracecove's total liability for claims arising from the affected Service is limited to the greater of US$100 and the amount you paid Tracecove for that Service during the 12 months before the event giving rise to the claim. Related claims are treated together only where the law permits.
These exclusions and the cap do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability, statutory remedy, consumer guarantee, or privacy or data-protection liability that cannot lawfully be limited. They do not reduce a refund that the law requires or limit Tracecove's obligation to pay an amount expressly due under an order. If a limit is unenforceable for you, the relevant claim is governed by applicable law without that limit. Nothing requires a consumer to bear losses the law assigns to Tracecove.
17. Business-user indemnity
This section applies only when you use a Service for an organization or commercial business, not for personal or household purposes. To the extent permitted by law, you will indemnify Tracecove against amounts finally awarded to a third party, or agreed in a settlement you approve, and reasonable defense costs, arising from a third-party claim that Your Content infringes that party's intellectual property rights or that your intentional unlawful misuse of the Service caused that party harm. This obligation applies only to the extent the claim is caused by your conduct and excludes Tracecove's own breach, negligence, or misconduct.
Tracecove must provide reasonably prompt notice, allow you to control the defense with suitable counsel, and provide reasonable cooperation at your expense. A delay in notice reduces the obligation to the extent it materially prejudices the defense. You may not settle in a way that admits fault by Tracecove, imposes a nonmonetary obligation on it, or fails to fully release it without its written consent, which will not be unreasonably withheld.
18. Governing law and resolving disputes
California law governs these Terms, excluding its conflict-of-laws rules, subject to the mandatory protections described below.
You may contact compliance@tracecove.com to try to resolve a dispute informally. This is voluntary and does not prevent urgent relief, a timely court filing, a small-claims action, or a complaint to a regulator.
Unless mandatory law gives you another forum, disputes may be brought in the state courts in San Mateo County, California, or the United States District Court for the Northern District of California if it has jurisdiction, and the parties consent to those courts. If you are a consumer, you retain any right to sue in the courts where you live and the benefit of mandatory law there. A choice of law or court in these Terms does not deprive you of those protections. No provision requires arbitration or waives participation in a class proceeding or trial by jury.
19. Changes to these Terms and electronic notices
We may update these Terms as the Services or legal requirements change. The published effective date identifies the version. For a material change affecting an existing relationship, we provide appropriate notice through a suitable channel, such as an account notice or email, before it takes effect when required. We obtain renewed agreement where law requires it; continued use is treated as acceptance only where lawful and after adequate notice. Changes do not retroactively alter an accrued dispute without lawful agreement.
We may provide service and contractual notices electronically through available account channels or the contact information you provide, subject to law. An electronic service notice is not consent to promotional communications. Where a transaction requires special electronic-record consent or another delivery method, we obtain or use it separately. Keep your contact details current and save a copy of terms relevant to your purchase or account.
20. Other provisions and contact
If a provision is invalid, the rest remains effective to the extent it can operate lawfully without it. A failure to enforce a provision on one occasion is not a waiver of future enforcement. You may not transfer this agreement without our consent except where law permits. We may transfer it as part of a lawful reorganization or business transfer, subject to your mandatory rights, the Privacy Policy, and any consent or notice required by law; messaging consent is not sold or transferred as a separate asset. No transfer increases your obligations or removes mandatory remedies without a lawful basis.
These Terms and the applicable supplemental agreements form the agreement concerning the Services they cover. They do not override nonwaivable rights or a separate written agreement. They do not make you and Tracecove partners, employees, or agents merely because you use a Service.
